In Part 1 of our agentic AI governance series, we explored why agentic AI requires a new governance approach. Unlike traditional AI that makes recommendations, autonomous agents take action: optimizing campaigns and making decisions on your behalf without approval at every turn. This autonomy creates opportunity, but it also creates risk.

This post breaks down a three-layer approach that enables autonomous optimization with full control. These layers work together to create outcome-driven autonomy: agents that drive measurable revenue while operating within your brand, compliance, and business parameters.

3 Core Layers of an Agentic AI Governance Framework

Layer 1: Policy Governance–Defining What AI Agents Can Do

This layer sets the boundaries that enable agents to optimize continuously while staying aligned with the brand, compliance, and business rules you define.

Policy governance establishes the foundational rules that determine agent scope, capabilities, and constraints.

Core components:

  • Acceptable use policies & regulatory alignment: Define what agents can and cannot do, aligned with legal requirements (e.g., TCPA, GDPR, CAN-SPAM) and brand guidelines.   • Risk classification: Not all agents carry equal risk. Establish clear tiers (low, medium, high, critical) with corresponding governance requirements
  • Data governance & privacy limits: Specify what customer data agents can access, how they use it, and privacy constraints

Layer 2: Operational Governance–Controlling Agent Permissions

This layer gives agents access to the systems and data they need to drive results while ensuring they can't touch anything outside their scope.

Operational governance translates policies into concrete permissions and access controls.

Core components:

  • Identity, roles, and permissions: Every agent needs a unique identity with role-based access control (RBAC). For example, a campaign optimization agent needs write access to campaign systems but shouldn't access financial data
  • API & tool allowlists: Maintain explicit allowlists of integrations each agent can use with scoped credentials
  • Sandbox vs. production: High-risk agents should be tested in controlled environments before production deployment

Layer 3: Runtime Governance–Monitoring Agent Behavior

This layer enables intelligent, always-on execution. Agents continuously optimize performance based on real-time data, and the results compound over time as they learn what drives better outcomes—all while governance ensures they stay within your parameters.

Core components:

  • Continuous monitoring: Track agent actions in real-time, identifying patterns that deviate from expected behavior
  • Action approval gates: For high-stakes actions, implement approval gates requiring human confirmation before execution
  • Audit trails & escalation: Maintain comprehensive logs of every agent decision, action, and outcome

Core Governance Controls for AI Agents

Agent Identity and Ownership

  • Unique identity per agent: Every autonomous agent requires distinct identity—not shared credentials. This enables precise permission scoping and action traceability
  • Assigned owner: Each agent must have a designated human owner responsible for configuration, behavior, and outcomes

Risk Tiering for AI Agents

Example Risk Tiers:

  • Low-risk (Tier 1): Internal analytics agents, read-only reporting
  • Medium-risk (Tier 2): Marketing automation with send volume limits
  • High-risk (Tier 3): Customer-facing agents, campaign deployment
  • Critical-risk (Tier 4): Agents that modify customer data or make financial commitments above configured thresholds

Higher-risk tiers require stricter permissions, more frequent audits, mandatory approval gates, and enhanced monitoring.

Tool & API Governance

  • Scoped credentials: Credentials should provide minimum necessary permissions (read vs. write, specific resources only)
  • Rate limits: Implement controls preventing agents from executing actions at dangerous scale

Execution Guardrails

  • Frequency limits: Messaging guardrails prevent over-communication. Agents optimize within configured frequency caps (daily, weekly limits per channel)
  • Prevent irreversible actions: Some actions require multi-step approval processes with clear human verification

Full Decision Traceability

Comprehensive audit trails should capture not just what an agent did, but why—the reasoning, data inputs, alternatives considered, and confidence scores.

The Permission Paradox:

If you start with overly restrictive permissions, you'll create workarounds: one-off exceptions and shadow agents operating outside governance. Start with thoughtful, scoped permissions instead. Transparency and auditability matter more than tight restrictions.
